NOTICE OF ANNUAL GENERAL MEETING
Agenda: The Annual General Meeting of the members of the Ottawa Art Gallery will be held at the Ottawa Art Gallery on Tuesday June 13, 2023 at 6:00 PM for the following purposes:
- to approve the Minutes of the June 15, 2022 Annual General Meeting
- to receive the Chair’s Annual Report on the activities at the Gallery for the year ended on 31 December 2022
- to receive the Treasurer’s report
- to receive the financial statements of the Gallery for the year ended on 31 December 2022
- to appoint Auditors
- to elect Directors
- to transact such further or other business as may properly come before the annual meeting.

The Annual General Meeting of the Ottawa Art Gallery will take place at the Ottawa Art Gallery, Tuesday June 13, 2023 at 6:00 PM.
As stated in Article 6.4 of the By-Laws of the Ottawa Art Gallery, members may propose for membership on the Board of Directors, candidates who are not sponsored by the Nominating Committee. The procedure for doing so is described in Article 6.4, a copy of which is attached.
The Nominating Committee is chaired by Anne Cobbet, Board Secretary. Should you wish to suggest the names of candidates to the Committee, please communicate with the Secretary c/o the Ottawa Art Gallery, before June 3, 2023.

ARTICLE 6.4
6.4 Nomination of Directors
At least 30 days before each annual meeting of members at which an election of directors is required, the Nominating Committee appointed pursuant to section 8.6 of this by-law shall commence a process for the nomination of candidates for directors.
The Gallery Director and the immediate Past Chair shall be automatic nominees. In the case of all other nominations, any member of the Gallery in good standing thirty days prior to the date of the annual general meeting may submit nominations for the Board in writing to the Secretary at the office of the Gallery not later than ten (10) days prior to the date of the Annual General Meeting. Such nominations must be supported by two members of the Gallery and must include the written consent of the nominee.
The Secretary shall submit all nominations duly and timely filed with him or her, together with a report of the nomination process, at the relevant annual meeting of members.
